hi my friend has the bl2 season pass .. and i wanted to know if i can licence transfer his season pass . and will he still be able to use it on his xbox .

You will be able to download all of the DLC that he has, but you have to be on his account to download it. When new DLC comes out, you will need to get on his account and download it before him, because the license transfer only affects previously bought items.

From the download history, because Borderlands 2 has a tendency to stop a download completely when you close it, even on accident.
can i also download dlc characters and heads and skins.. will he still be able to use the dlc characters on his xbox
